User Agreement

1. Introduction

This PayitFast User Agreement ("User Agreement") is a legally binding agreement between PayitFast Technologies Inc. ("PayitFast", "we", "us", or "our") and you ("you" or "your") that governs your use of PayitFast's platform, products, and services (collectively, the "Services").

This User Agreement forms the foundational agreement governing your relationship with PayitFast. If you obtain or use a PayitFast Card issued by the Issuer under Rain's international program (the "PayitFast Card"), additional terms found in the PayitFast Card Terms will also apply.

2. Eligibility

To use the Services, you represent and warrant that:

  1. You are at least 18 years old (or the age of majority in your province/territory).
  2. You reside outside the United States, including in Canada.
  3. You are not a United States citizen.
  4. You are not located in a sanctioned jurisdiction listed in PayitFast's Prohibited Activities Policy.
  5. You are not subject to U.S. OFAC sanctions or comparable Canadian sanctions regimes.
  6. All information you provide is true, accurate, and complete.

3. Your PayitFast Account

3.1 Account Creation

To access the Services, you must create a PayitFast account ("Account"). You agree to provide accurate information and update it promptly when it changes.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify PayitFast immediately if you suspect unauthorized access.

3.3 Account Restrictions

We may suspend or restrict your Account if:

  • required by law,
  • required by our banking, issuing, or compliance partners,
  • required by Rain or the Issuer,
  • we reasonably suspect fraud, risk, or misuse.

4. PayitFast Services

Depending on your use of the platform, Services may include:

  1. Access to stored-value or wallet functionality (non-custodial unless otherwise specified).
  2. Access to fiat or digital asset payment tools.
  3. Access to the PayitFast Card and associated Card management features.
  4. Customer support and Service interfaces.

All Services may be modified, updated, restricted, or discontinued at any time.

5. Relationship with the Card Issuer

If you apply for or use a PayitFast Card, you acknowledge:

  • The card is issued by Third National Bank or another Rain-designated issuer ("Issuer").
  • PayitFast is not the lender, creditor, or card issuer, but a technology provider.
  • Your Card use is governed by the PayitFast Card Terms, incorporated here by reference.
  • The Issuer may require you to agree to additional disclosures or agreements.
  • PayitFast may access or share required data with the Issuer to facilitate Card services.

6. Fees

Any applicable fees will be disclosed in:

  • the PayitFast fee schedule,
  • the PayitFast Card Terms,
  • or within the PayitFast app.

You authorize PayitFast and the Issuer to deduct applicable fees from your Account or Card balance.

7. Prohibited Activities

You must comply at all times with the PayitFast Prohibited Activities Policy, which is incorporated by reference.

You may not use the Services for any activity that is illegal, harmful, high‑risk, or restricted under:

  • PayitFast's Prohibited Activities Policy;
  • Rain's mandatory platform standards;
  • OFAC and Canadian sanctions rules; or
  • Applicable provincial or federal law.

Your access may be suspended or terminated if you engage in prohibited activity.

8. User Conduct

You agree not to:

  1. Use the Services for unlawful purposes.
  2. Circumvent risk-monitoring or compliance controls.
  3. Provide inaccurate or misleading information.
  4. Permit another person to access your Account.
  5. Interfere with the operation of the Services.

9. Communications & Electronic Consent

You consent to receive all agreements, disclosures, notices, and communications electronically.

This aligns with Rain's required E-Sign disclosure structure.

You may withdraw electronic consent by contacting support, but doing so may limit your ability to use the Services.

10. Data Sharing and Privacy

Your personal information will be handled in accordance with the PayitFast Privacy Policy. You authorize PayitFast to share data with:

  • the Issuer,
  • Rain and its affiliates,
  • compliance and fraud-prevention vendors,
  • payment networks.

11. Termination

PayitFast may suspend or terminate your Account:

  • for violation of this User Agreement,
  • due to a legal, compliance, or risk request,
  • if required by the Issuer or Rain,
  • or at PayitFast's discretion.

Termination does not relieve you of any outstanding obligations.

12. Disclaimers

To the maximum extent permitted by law:

  • PayitFast provides the Services "as is" without warranties of any kind.
  • PayitFast disclaims liability associated with the performance of Issuer Services.
  • PayitFast does not control merchant acceptance of the PayitFast Card.

13. Limitation of Liability

To the extent permitted by law:

  • PayitFast is not liable for indirect, special, punitive, or consequential damages.
  • PayitFast's aggregate liability is capped at the amount of fees paid by you in the 12 months preceding the event.

14. Indemnification

You agree to indemnify and hold harmless PayitFast, its affiliates, and service providers from claims arising from:

  • your use of the Services,
  • your breach of this User Agreement,
  • your violation of law, or
  • your fraud or misconduct.

15. Governing Law

This User Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada, unless the PayitFast Card Terms specify Puerto Rico for Card-specific disputes.

16. Dispute Resolution

Where applicable law permits, disputes will be resolved through:

  • Attempted informal resolution; then
  • Individual arbitration or small claims court, consistent with the PayitFast Card Terms (for Card-related disputes) and applicable provincial arbitration legislation.

17. Modifications

PayitFast may update this User Agreement at any time.

18. Entire Agreement

This User Agreement, together with:

constitutes the full understanding between you and PayitFast.
